Terms of Service

These Terms of Service ("Terms") govern your access to and use of Cloakrr's document redaction and anonymization services ("Service"). By using Cloakrr, you agree to be bound by these Terms.

1. Service Description

Cloakrr provides AI-powered document redaction and anonymization services, including:

• Detection of sensitive data (PII, PHI, financial information)
• Redaction and anonymization across multiple compliance frameworks
• Processing of various document formats (PDF, Word, Excel, PowerPoint, images)
• API access for programmatic integration
• Audit trail generation

2. Account Registration

2.1 Eligibility

You must be at least 16 years old and have the legal capacity to enter into these Terms.

2.2 Account Responsibility

• You are responsible for maintaining the security of your account credentials
• You must provide accurate and current registration information
• You are liable for all activities conducted through your account
• Notify us immediately of any unauthorized access

2.3 Organization Accounts

If you create an organization account:

• You represent that you have authority to bind the organization
• Organization administrators can manage team member access
• The organization is responsible for all team member activities

3. Acceptable Use

3.1 You Agree To:

• Use the Service only for lawful purposes
• Ensure you have the right to process any documents you upload
• Comply with all applicable data protection regulations
• Respect the intellectual property rights of others

3.2 You Agree NOT To:

• Upload documents containing illegal content
• Attempt to circumvent service security measures
• Use automated systems to abuse the Service (outside approved API usage)
• Resell or redistribute the Service without authorization
• Interfere with other users' access to the Service
• Attempt to extract or reverse-engineer our AI detection models

4. Document Processing

4.1 Your Content

• You retain all rights to documents you upload
• You grant us a limited license to process documents as needed to provide the Service
• This license terminates when documents are deleted from our systems

4.2 Temporary Storage

• Documents are stored temporarily during processing
• Processed files are available for download for a limited period (typically 24-48 hours)
• After expiry, documents are permanently deleted from our systems

4.3 Processing Accuracy

• While we strive for high accuracy in detecting sensitive data, no automated system is perfect
• You are responsible for reviewing processed documents before use
• We recommend human verification for critical compliance requirements

5. Credits and Payment

5.1 Credit System

• Processing consumes credits based on page count
• Free credits may be provided for new accounts
• Credits do not expire while your account remains active

5.2 Purchases

• Credit purchases are processed through secure third-party payment providers
• All prices are displayed in the applicable currency
• Taxes may apply based on your jurisdiction

5.3 Enterprise Plans

• Platform subscriptions provide monthly credit allocations
• Unused credits may roll over according to plan terms
• Enterprise features are available only to subscribers

6. API Usage

6.1 API Access

• API keys are provided for programmatic access
• Keys are scoped to your organization
• You are responsible for securing your API keys

6.2 Rate Limits

• API requests are subject to rate limits (60 requests/minute default)
• Higher limits may be available on enterprise plans
• Exceeding limits may result in temporary throttling

7. Service Availability

7.1 Uptime

• We aim to maintain high service availability
• Scheduled maintenance will be communicated in advance when possible
• We are not liable for interruptions beyond our reasonable control

7.2 Modifications

• We may modify, suspend, or discontinue features with reasonable notice
• Material changes affecting your usage will be communicated

8. Intellectual Property

8.1 Our Property

• Cloakrr, including its AI models, algorithms, and interface, is our intellectual property
• These Terms do not grant you any rights to our trademarks or brand

8.2 Feedback

• If you provide feedback or suggestions, we may use them without obligation
• Such feedback becomes our property to implement as we see fit

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OF DETECTION OR REDACTION

You acknowledge that no automated redaction system is 100% accurate and that human review is recommended for compliance-critical documents.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• We are not liable for indirect, incidental, special, or consequential damages
• Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim
• We are not liable for any failure to detect or properly redact sensitive data

11. Indemnification

You agree to indemnify and hold us harmless from claims arising from:

• Your violation of these Terms
• Your documents or content
• Your violation of any third-party rights
• Your failure to comply with applicable laws

12. Termination

12.1 By You

• You may terminate your account at any time via account settings
• Unused credits are non-refundable unless required by law

12.2 By Us

• We may suspend or terminate accounts for Terms violations
• We may terminate with 30 days notice for any reason
• Upon termination, your right to use the Service ceases immediately

12.3 Effect of Termination

• Your data will be deleted according to our retention policies
• Provisions that should survive (IP, limitation of liability, indemnification) will continue

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles.

13.2 Jurisdiction

Any disputes shall be resolved in the courts of England and Wales.

13.3 Informal Resolution

Before initiating formal proceedings, you agree to contact us to attempt informal resolution.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy and any plan-specific terms, constitute the entire agreement.

14.2 Severability

If any provision is found unenforceable, the remaining provisions continue in effect.

14.3 No Waiver

Our failure to enforce any right does not constitute a waiver.

14.4 Assignment

You may not assign these Terms. We may assign them in connection with a merger or acquisition.

15. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days in advance. Continued use after changes take effect constitutes acceptance.
